I am a partner in a limited liability company. The company director does not allow me to make copies of the company’s internal documents. Does he have the right to do this?
The answer
In accordance with Section 122 of the German Commercial Code (HGB), the shareholders have the right to request information from the managing directors about company affairs and to inspect the company’s documents. The phrase "inspection of documents" does not imply the right to dispose of documents or the right to make and submit copies of documents.
